Cuatrecasas and CS’Associados advise on hospitals group acquisition

Cuatrecasas in Portugal provided legal counsel to CUF in the acquisition of a 75% stake in Sociedade Hospital Particular do Algarve (Grupo HPA Saúde). Founded in 1996 with the creation of Hospital Privado do Algarve in Alvor, Grupo HPA Saúde is made up of five hospitals and seventeen clinics, with a strong presence in the south of Portugal, particularly in the Algarve and Alentejo regions, as well as in the Autonomous Region of Madeira. CS’Associados, meanwhile, advised Hospital Privado do Algarve.

The closing of this transaction is subject to the satisfaction of the customary conditions for this type of deal, including the necessary regulatory approvals. According to CUF, the completion of the acquisition process for the aforementioned stake is expected to be “reinforced over a four-year period” and “depends on the fulfillment of all conditions set out in the agreement.”

Previously, Cuatrecasas had also advised CUF on the acquisition of thirteen healthcare units from Sociedade Francisco Manuel dos Santos, part of the miMed clinic network located in the Greater Lisbon area, which, following that transaction, brought CUF’s total healthcare units to 43.

The Cuatrecasas team advising on this transaction was coordinated by corporate and M&A lawyers Alexandra M.
