Cuatrecasas advises AMCNO on the acquisition of Futebol SAD

Cuatrecasas in Portugal advised AMCNO Proyectos Y Inversiones during the negotiation process for the acquisition of 90% of the share capital of Associação Desportiva Sanjoanense – Futebol SAD, and for the transfer of the right to operate the Estádio Conde Dias Garcia (São João da Madeira), along with other associated sports facilities, in favor of the SAD. The acquisition was made from the club Associação Desportiva Sanjoanense, which founded the senior men’s football team currently playing in the 3rd division of the Portuguese league.

AMCNO, managed by entrepreneur Jaison Caro Tafur, thus became the holder of a qualified stake in Sanjoanense – Futebol SAD, ensuring the organizational solvency of the entity through a substantial investment and by securing the rights to use the infrastructures necessary to carry out a locally based partnership and sports development project.

The Cuatrecasas team involved in the legal advisory for this transaction — which is part of the firm’s cross-practice group dedicated to sports & entertainment — was led by Rafael Lucas Pires, partner and co-head of the corporate and M&A department (pictured), and included Rodrigo Bastos Peixoto from the same department. Also participating were Rui Vaz Pereira and Victor Hugo Ventura (labor), and Sérgio Fagundes Conceição (real estate and urban planning), among other lawyers.

According to Rafael Lucas Pires, “this was a very interesting transaction, involving a certain degree of complexity, particularly in terms of compliance with the specific requirements of the legal framework for sports companies and the cross-disciplinary nature of the legal areas involved.”
