Clifford Chance advises Suma Capital on €250m continuation fund and acquisition of Gestcompost
Clifford Chance has advised Suma Capital on the structuring of SC Infra Gestcompost Fund, a continuation fund with a target size of two hundred and fifty million euros, and the acquisition by said fund of the Gestcompost group, an investee of SC Efficiency & Environment Fund II, and the subsequent acquisition of Soluciones Totales de Biometano.
Several institutional investors have invested in the fund, including Partners Group as lead investor.
The Gestcompost group engages mainly in biowaste treatment and recovery for the production of biogas, biomethane and biofertilisers. The company manages industrial waste from key sectors, including the paper industry, water purification plants and animal and agri-food by-product processing.
With a treatment capacity of 1.2 million tonnes of biowaste at its three facilities in Aragon, Castile-La Mancha and Catalonia, the Gestcompost group will begin generating biomethane this year, with an annual production of 75 GWh.
The firms team was led by partner Ildefonso Alier, together with counsel Javier Olabarri and senior associate Aina Gómez, from the Funds and Corporate/M&A departments. They were supported by associates Sandra Bazin, María Barragán, and Cristina Garcia, also from the Funds and Corporate/M&A departments.
