A&O Shearman advises CIP on onshore acquisition

A&O Shearman has advised Copenhagen Infrastructure Partners (CIP) who has signed an agreement to acquire, through its fifth flagship fund CI V, Ørsted’s European onshore renewable energy business.
The transaction encompasses over 800 MW of operational and under-construction assets, together with a multi-gigawatt development pipeline spanning Ireland, the UK, Germany and Spain. CI V reached final close in March 2025, exceeding its target with total potential commitments of approximately USD27 billion.

The business comprises onshore wind, solar and battery energy storage system (BESS) projects, with closing expected in Q2 2026, subject to regulatory approvals. A&O Shearman advised on all aspects of the transaction, including M&A and due diligence with a cross-border team in the UK, Germany and Spain led by partners Mitchell Olufawo, David Lee, Richard Evans, Vanessa Cuellas and Max Landshut.
