Antas da Cunha Ecija advises Nolita on Vieira de Castro capital entry
Antas da Cunha Ecija has advised Nolita and its founders — Maria Fernanda Cabral de Vasconcelos Gama and Nuno Miguel Moreira Lopes Gama — on a capital increase transaction that culminated in the entry of Vieira de Castro, a solid Portuguese food industry group, into the company’s share capital.
This transaction represents a strategic step in Nolita’s growth trajectory, as the company now benefits from the support of an industrial partner with strong financial capacity, extensive market experience and a well-established international presence, states the law firm. These conditions will enable Nolita to accelerate its expansion, strengthen its production capabilities and unlock new business development opportunities, both in Portugal and abroad.
Nolita is a Portuguese brand based in Porto, founded in 2019, specialising in granolas, caramelised nuts and functional preparations. It is positioned in the premium and healthy segment of the food industry and operates through retail, wholesale and e-commerce channels. Vieira de Castro was founded in 1943 in Vila Nova de Famalicão. Specialising in the production of biscuits, almonds and sweets, it is responsible for iconic products such as Água e Sal crackers, Amêndoas Cláudias and Flocos de Neve sweets.
The Antas da Cunha Ecija team involved in negotiating the Investment and Shareholders’ Agreement, as well as in preparing all the corporate and contractual documentation required for this type of transaction, comprised Amílcar Silva (partner, pictured), Joana Soares Quirino (of counsel) and Tânia Nogueira (associate).
