Unicorn Royal Emirates Hotel’s Acquisition: The Advisors

The Emirati fund Unicorn Royal Emirates buys a hotel in Estepona for €40M with Andersen and Ashurst as legal advisors. Andersen has provided advisory services to the fund, an investment manager and active operating partner in real estate asset acquisition and management, in the purchase of Hotelera Santa Marta, a real estate developer owning a five-star hotel under development in Estepona (Málaga).

The financing for this acquisition has been provided by Xenia Capital, an alternative investment fund aimed at developers and real estate investors. Following the acquisition, Unicorn Royal Emirates will kickstart the development, which was previously halted due to lack of financing, with the goal of opening a luxury hotel in 2027, for which it plans to invest €150 million.

Leading the advisory team at Andersen were Guillermo Muñoz-Alonso, Partner in the Banking and Finance Practice (pictured left), and Ignacio Sáenz de Santamaría, Partner in the Real Estate Practice (pictured second from left). The transaction also received advisory support from Andersen Luxembourg.

Ashurst also advised Xenia Capital on the transaction. The team has been led by partner Jose Christian Bertram (Banking and Finance: pictured second from right) on the financial aspects and by partner Javier Hernández Galante (Tax; pictured right ) on the tax aspects. In the financial aspects also Aitor Errasti (Counsel of Banking and Finance Law), Juan Aznar (Associate of Banking and Finance Law), and Raquel Miranda (Trainee of Banking and Finance Law) were part of the team.
