Abreu advises Pure Planet on the acquisition of RDUZ
Abreu Advogados advised Pure Planet, a company owned by the Jerónimo Martins, Visabeira and Black & Blue groups, on its acquisition of the entire share capital of RDUZ – Gestão Global de Resíduos. RDUZ is a Portuguese operator active in waste collection, transport, sorting and recovery. The Portuguese Competition Authority cleared the transaction unconditionally.
RDUZ handles waste electrical and electronic equipment (WEEE), plastics and cardboard. The acquisition forms part of Pure Planet’s plan to build an integrated environmental services platform. It also extends the three shareholder groups’ presence in Portugal’s waste management and recovery sector.
The transaction raised legal and regulatory issues specific to the waste management sector, in particular environmental licensing and compliance with applicable legal obligations. Abreu Advogados advised Pure Planet at every stage. This covered the legal structuring of the acquisition, the review of due diligence findings with a focus on environmental and regulatory matters, the negotiation of the share purchase agreement, and support through to completion. The firm also prepared and filed the merger control notification with the Portuguese Competition Authority.
