Pérez-Llorca advises OHLA on share consolidation
Pérez-Llorca is advising OHLA on a share consolidation transaction that the construction and services company plans to submit to an extraordinary general shareholders’ meeting in November. The operation, commonly referred to as a “contrasplit”, involves grouping existing shares to reduce the total number in circulation.
Acording to the local press, the Spanish infrastructure group OHLA’s shareholders’ will soon vote on a 10-for-1 reverse stock split, increasing the nominal value of its shares from €0.25 to €2.50, and authorise the company to buy back its own shares, directly or through group companies.
Legal team
The Pérez-Llorca team advising OHLA on the matter is led by Ángel Martín, corporate partner, together with Francisco León, of counsel, and Carlos Mercadal, corporate lawyer.
