Abreu advises Caixa Geral de Depósitos on €82M BCA stake sale
Abreu Advogados advised Caixa Geral de Depósitos on the sale of its majority stake in Banco Comercial do Atlântico (BCA) in Cape Verde, in a transaction valued at €82 million. The divested stake, representing 59.81% of BCA’s share capital, was acquired by Coris Holding, a financial group with a significant presence in the West African banking sector. The transaction was completed in Praia, Cape Verde.
Abreu Advogados provided full legal support for the operation, including assistance with the privatisation process in Portugal, management of the competitive sale process, legal vendor due diligence, drafting and negotiating contractual documentation, advising on the award decision, support in obtaining regulatory approvals from the Bank of Cape Verde and the Audit Office of the Securities Market (Cape Verde), communications with the market, and overseeing the signing of the Sales and Purchase Agreement (SPA) and closing.
The team worked in coordination with Caixa Banco de Investimento, which acted as financial advisor to Caixa Geral de Depósitos. The operation was led by partner José Maria Corrêa de Sampaio (pictured), supported by a multidisciplinary team including Hugo Teixeira, Pedro Pais de Almeida, Ricardo Henriques, Mafalda Teixeira de Abreu, Jorge Morais, José Maria Alves Pereira, Francisco Estácio, and Rafael Teopisto.
