Celtis Venture Partners’ first investment in Spain: advisors

CVC and Corporación Financiera Alba have agreed to reorganise their investment structure in Naturgy, resulting in Corporación Financiera Alba’s separation as a shareholder within the joint corporate structure. Following the transaction, Corporación Financiera Alba now holds a direct 5.01% stake in Naturgy, while CVC holds 13.8%. Ontier advised Celtis Venture Partners on its first transaction in Spain, supporting its entry into the Spanish market. Pérez-Llorca advised CVC on the Spanish legal aspects of the transaction.

In this regard, CVC and Corporación Financiera Alba have also agreed to terminate the existing shareholders’ agreement and to execute a new shareholders’ agreement between them in relation to Naturgy.
