Pérez-Llorca advises Semapa on €148M acquisition

Pérez-Llorca has advised the Portuguese industrial group Semapa on its acquisition of Imedexa from the Spanish private equity firm GPF, in a transaction valued at approximately €148 million. The deal marks Semapa’s first direct acquisition of a company headquartered outside Portugal and represents a new step in the group’s internationalisation and diversification strategy.

Founded in 1979 and based in Cáceres (Extremadura), Imedexa (Industrias Mecánicas de Extremadura) specialises in the production of towers and electrical structures for both domestic and international clients. GPF, established in 2015 by Martín Rodríguez-Fraile, Ignacio Olascoaga, Lorenzo Martínez de Albornoz and Guillermo Castellanos, acquired the company at the end of 2023 and entrusted Nomura with the sale process earlier this year.

Semapa, a large industrial holding group, operates in the cement, pulp and paper, and environmental services sectors. With revenues exceeding €2.8 billion and profits of more than €300 million in 2024, it remains under the control of the Queiroz Pereira family.

Pérez-Llorca’s multidisciplinary team included corporate partners Dídac Severino and Rodrigo Nogueira, supported by Borja Gil Casares and Beatriz Olivares (corporate), Antoni Companys and Rafael Pastor Beneyto (planning and environment), and Eva Láuzara and Sofía Pueyo (employment, compensation and benefits).
