PwC and PLMJ on the acquisition of Cicomol by Arbonia

PwC Portugal advised Arbonia, a Swiss market player in Western, Central, and Eastern Europe, specializing in the manufacture of a range of interior door solutions in wood, glass, and metal, and listed on the Swiss stock exchange, on the acquisition of Cicomol. The sellers (a fund managed by Oxy Capital and the personal holdings of Cicomol’s historic shareholders) were advised on the sale by PLMJ.

Cicomol is a Portugal company specialising in door manufacturing, particularly distinguished in the premium design segment and special doors for specialist retailers, as well as interior doors and CPL frames, with its headquarters located in the municipality of Ourém.

This acquisition strengthens Arbonia’s presence in Portugal, continuing the expansion initiated with the acquisition of Dimoldura in 2024 across Portugal, Spain, and France. Part of Cicomol’s previous management and shareholder team (which was involved from its inception) will remain on the company’s board, informs PwC.

As part of this transaction, PwC’s assembled a multidisciplinary team to jointly conduct due diligence covering financial, tax, legal and labor aspects. The team also advised Arbonia in drafting and negotiating all legal documentation required to complete the transaction.

The PwC legal team, which coordinated the transaction phase, was led by Luís Pedro Oliveira (partner – Corporate/M&A) and included the collaboration of Andreia Prado da Silva (manager) and Yelyzaveta Lemeshko (senior associate), lawyers from the same practice area. The labour advisory was led by the head of labour law, Levi França Machado, with the support of Ana Luísa Gomes (Senior Associate).

Financial due diligence was led by Sandie Costa (partner – advisory), supported by Mara Almeida Marinha (senior manager) and Filipe Lima (senior associate), while tax due diligence was led by Maria Antónia Torres (partner – deals tax), with the support of Maria Navio Araújo (manager) and Marta Martins Gouveia (senior associate).

On PLMJ’s side, the advisors team was led by Duarte Schmidt Lino (partner) and Carolina Inverno Branco (associate).
