PwC Portugal advises on the merger of Mutual Guarantee Companies into Norgarante
PwC Portugal has been advising the Portuguese Mutual Guarantee Companies – Norgarante, Lisgarante, Garval and Agrogarante – in the context of the ongoing merger process, through a multidisciplinary team comprising professionals from the advisory, legal, employment law, transaction services, tax– financial services, human resources and financial services risk & regulation teams.
The transaction, still subject to the necessary regulatory approvals, is expected to result in the merger of Lisgarante, Garval and Agrogarante into Norgarante, which will assume the legal continuity of the National Mutual Guarantee System. The merger is a landmark structural reform designed to consolidate the National Mutual Guarantee System
PwC’s legal team has been involved in the various stages of the process, led by Isabel Coelho dos Santos (Partner – Corporate/M&A), Cristina Cabral Ribeiro (Managing Partner) and Miguel Paiva Antunes (Senior Manager – Corporate/M&A). Lawyers from different practice areas across the Lisbon and Porto offices – including Corporate Law, Public Law, Data Protection and Real Estate Law – also contributed.
The employment law aspects of the project have been handled by the Employment Law team, led by Levi França Machado (Head of Employment Law).
