Cuatrecasas advises Banca March on the acquisition of 40% of the company that controls Lusoponte
Cuatrecasas has advised Banca March on the acquisition of a stake in a Serena Industrial Partners vehicle, which acquired a 40 per cent stake in Lineas – Concessões de Transportes from Novo Banco. Lineas is the company that controls 50.5% of Lusoponte, the concessionaire for the 25 de Abril and Vasco da Gama bridges in Lisbon, and 80.8% of the concession for the 242-kilometre Douro Interior motorway.
This operation is being realised through the launch of March Lusitana, a venture capital vehicle that will offer March’s clients the possibility of co-investing and participating in the operation.
For Banca March, this is an investment in emblematic infrastructure, some of the most significant in Europe, which could provide even greater growth potential linked to the foreseeable extension of concessions, the promotion of tourism and the new property and infrastructure developments planned for Portugal.
The remaining 60 per cent of Lineas – Concessões de Transportes will remain in the hands of construction company Mota-Engil.
The Cuatrecasas team involved in advising on this operation was coordinated by Francisco Santos Costa, a lawyer in the corporate and M&A area, and included Jorge Canta Díaz de Guereñu and Jorge Serrote from the same area, and Serena Cabrita Neto, Fernando Remón Peñalver and Ana Helena Farinha from the Tax area, among other lawyers from the Banking & Finance, Labour, Criminal and Compliance, Public Law and Intellectual Property areas.
