Hogan Lovells advises on the acquisition of ZinCo and its subsidiaries

Hogan Lovells has advised Swiss building materials group Holcim, a global leader in innovative and sustainable building solutions, on the acquisition of ZinCo GmbH, a leading provider of green roofing systems, and its subsidiaries in Spain, the United Kingdom and the United States, from its shareholders.

Headquartered near Stuttgart, Germany, ZinCo offers green roofing systems as well as integrated green and solar roofing solutions in Europe, Asia and the Americas. ZinCo’s expertise in roofing, from urban agriculture to stormwater management and biodiversity, strongly complements Holcim’s existing roofing business and its overall mission to lead the transition to sustainable construction. With this acquisition, Holcim is advancing its goal of expanding its Solutions & Products business to 30% of Group net sales by 2025.

Hogan Lovells advised Holcim with a cross-border team on all legal aspects of the acquisition, including the structuring of the transaction, due diligence in Germany, Spain, the United Kingdom and the United States, and the negotiation of the share purchase agreement and ancillary agreements. For the Swiss legal aspects of the due diligence, Hogan Lovells collaborated with Swiss law firm Walder Wyss.
