KPMG Abogados advises on the acquisition of Urbaser

KPMG Abogados has provided tax due diligence and selected tax structuring advise to FCC group in the acquisition of a number of UK entities belonging to the perimeter of Urbaser UK (i.e. some of the entities being sold were partially owned also by Balfour Beatty Infrastructure Investments Ltd)

The estimated enterprise value of the transaction (including debt and equity) is £398 million. It is expected to be completed in the second quarter of 2024, subject to the satisfaction of certain conditions customary in this type of transaction.

Urbaser entered the UK market in 1998 and its businesses and operations include waste collection, recycling, treatment and street cleaning activities.

Since Platinum Equity acquired Urbaser two years ago, the company continues to execute its value creation strategy by providing leading circular integrated waste management solutions for its customers in its core markets.

Team that leaded the deal involved both UK & Spain’s tax teams formed by Ricardo López, director (tax KPMG Abogados), Bradley Keast, partner (tax UK) and Nilesh Patel director – (tax UK).
