Andersen and CMS advise on the purchase of the sales and after-sales’ concession of Mercedes-Benz trucks

Andersen and CMS Albiñana & Suárez de Lezo have advised on the purchase from Daimler Trucks of the exclusive Mercedes-Benz truck sales and after-sales dealership in the Community of Madrid.

The operation includes the 30,000 square meter plot where the dealership is located in the Madrid town of Pinto. The dealership employs 88 people and has an annual turnover of around 100 million euros.

Andersen has advised the buyer Concesur, an Andalusian automotive group . The team has been formed by partner Santiago Fuertes has led the purchase operation from the corporate area, together with José Manuel Pumar, tax partner; and Ana Soltero, lawyer in the corporate department. Partner Isabel Martínez Moriel has been responsible for advising on the merger authorization procedure before the national markets and competition commission.

CMS has advised the seller Daimler Trucks. The transaction has been led by Luis Miguel de Dios and Jorge Peris, partner and principal in the corporate / M&A team.

Carlos Vérgez, partner in the competition area, Ricardo Héctor Lorca, partner in the tax area, Marta Burgos, associate in the tax area, María José Ramos and Antonio Uroz, senior associate in the labour area and associate in the real estate area, and Eduardo Crespo, associate in the competition area, have also been involved at some point in the whole process.

CMS advice has included, among others, the preparation and development of the competitive sale process; the management of the investors in such process; and the preparation and negotiation of pre-contractual documents, asset purchase agreement and other contracts and documents ancillary to the transaction.
