Pérez-Llorca and Linklaters in the acquisition of Ayesa

Spanish private equity fund ProA Capital has signed an agreement with Ayesa, controlled by A&M Capital Europe, for the sale of Ibermática, to create a national champion in the technology consultancy sector, with a combined turnover of €600 million. The other shareholders of Ibermática, ONCE and Kutxabank, are also selling their stakes in the company, which will become 100% controlled by Ayesa.

This is Ayesa’s third acquisition since the entry of A&M Capital Europe in its shareholding, which seeks to position the Seville-based company among the leaders in the technology services sector in Spain. The transaction is still pending approval and is expected to close in the coming months.

Founded in 1973, Ibermática is one of the technological leading companies in Spain, focused on the digitisation of large companies and public administrations. It offers a wide range of digital services in the areas of development and maintenance of software applications and infrastructures, as well as the implementation of emerging technologies such as artificial intelligence, advanced data analytics, cybersecurity and migration to the cloud, among others. At the end of 2021, it had 4,750 employees and a turnover of 276 million euros.

For this transaction, Ayesa has counted on Pérez-Llorca as legal advisor. The law firm acted with a team led by corporate partner Julio Lujambio (pictured left) and comprising corporate lawyers José Luis Romeu and Beatriz Sánchez, banking & finance counsel Isabel Villa, employment partner Isabel Moya (pictured in the middle) and tax partner Norma Peña (pictured right).

For their part, the Ibermática partners have relied on EY for the preparation of the due diligence reports and Linklaters as legal advisor.
